1. Scope and Application

These Terms of Engagement ("Terms") govern the provision of legal advisory services by Lexchain Advisory ("the Firm") to its clients. By engaging the Firm, you agree to these Terms in their entirety.

These Terms should be read together with any written engagement letter or retainer agreement provided separately.

2. Establishment of the Attorney–Client Relationship

Submitting an inquiry via our website does not establish an attorney–client relationship. An attorney–client relationship is formed only upon: (a) the Firm's written confirmation of engagement; and (b) execution of a formal engagement letter or retainer agreement signed by an authorised representative of the Firm.

3. Scope of Services

The Firm provides non-trading legal advisory services relating to digital assets, including regulatory compliance, AML/KYC program design, crypto asset estate planning, DAO and token structuring, cross-border tax legal memoranda, and licensing strategy. The scope of any engagement is defined in the applicable engagement letter.

Our advice does not constitute financial, investment, or tax advice. We recommend you obtain independent financial or accounting advice where appropriate.

4. Fees and Payment

Fees are set out in each engagement letter and may be structured on a project, hourly, or retainer basis. Invoices are due within fourteen (14) calendar days of issuance unless otherwise agreed. The Firm reserves the right to suspend work in the event of non-payment.

5. Confidentiality

The Firm holds all client information in strict confidence in accordance with applicable professional conduct rules. All communications with engaged clients are protected by attorney–client privilege. The Firm will not disclose client information except as required by law, court order, or applicable regulatory authority.

6. Conflicts of Interest

Prior to accepting any engagement, the Firm conducts a conflict-of-interest check in accordance with professional standards. Clients must promptly disclose any relationships or circumstances that might give rise to a conflict.

7. Limitation of Liability

The Firm's aggregate liability for any claim arising out of or in connection with services provided shall not exceed the total fees paid by the client for the relevant matter giving rise to the claim. The Firm is not liable for any indirect, consequential, or incidental loss.

Nothing in these Terms limits liability for fraud, wilful misconduct, or any other liability that cannot be excluded by law.

8. Intellectual Property

All work product, memoranda, analyses, and documents produced by the Firm remain the Firm's intellectual property until fees are paid in full, at which point ownership transfers to the client for their intended use. Work product may not be distributed to third parties without the Firm's prior written consent.

9. Termination

Either party may terminate an engagement by providing written notice. The Firm may withdraw from a matter in accordance with applicable rules of professional conduct. Upon termination, the client remains responsible for fees incurred through the date of termination.

10. No Guarantee of Outcome

Legal outcomes cannot be guaranteed. Prior results achieved for other clients do not guarantee similar outcomes in your matter. All opinions and advice are provided based on information available at the time of the engagement.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New York, United States, without regard to conflict-of-law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of New York.
